Image Licensing Agreement

Intellectual Property:

The images described in Exhibit A ("Images")

Purpose:

The Licensee is granted the right to use the Images for the following purposes:

Advertising, social media, print media, and website content.

Fees:

The Licensee is granted the right to use the Images free of charge.

Term:

The Licensee is granted the right to use the Images for a period of 6 year, starting from June 1, 2024 and ending on May 31, 2030.

Terms and Conditions:

1. Grant of License: The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Images solely for the Purpose described above.
2. Ownership: The Licensor retains all rights, title, and interest in and to the Images, including all intellectual property rights.
3. Restrictions: The Licensee shall not:
   • Use the Images for any purpose other than the Purpose described above.
   • Alter, modify, or create derivative works from the Images without the prior written consent of the Licensor.
   • Transfer, sublicense, or assign any rights under this Agreement to any third party without the prior written consent of the Licensor.
4. Termination: This Agreement may be terminated by either party upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 30 days of receiving notice of the breach. Upon termination, the Licensee shall cease all use of the Images.
5. Indemnification: The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Licensee's use of the Images.
6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Maryland, without regard to its conflict of laws principles.
7. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the subject matter hereof.
